THE SHORT ANSWER

Hypothetical example: a bilingual sales manager joined an agricultural-equipment dealer in Saint-Augustin-de-Desmaures eight months ago and has been asked to set up its first U.S. branch. She also has personal savings and could instead buy into a U.S. dealership herself. L-1 requires one continuous year of qualifying employment abroad within the last three, which she has not completed; E-2 asks nothing about employment history but requires her own substantial capital at risk in an enterprise she directs. The sequencing question is whether to wait four months or change roles entirely.

01

Check what each route needs from her, today

For L-1A she needs the year, a qualifying relationship between the dealer and its new U.S. branch, and a primarily managerial U.S. role. Four months from now the first element is met, provided her employment is continuous and her Québec duties during that year are managerial or executive in nature; a year in a nonqualifying role does not meet the new-office L-1A rule even after twelve months. For E-2 she needs Canadian citizenship, her own funds irrevocably committed to a real, non-marginal U.S. enterprise, and majority ownership or operational control. Her savings must be substantial relative to the cost of the business she would buy; her employer plays no part. The two routes describe two different lives, and the calendar is only one difference.

02

Weigh what each route asks of the employer

Under L-1A the dealer must form and own the U.S. branch, fund it, and keep operating in Québec for as long as she holds L status, which lasts at most seven years; if the dealer later sells or closes the Québec business, the qualifying relationship ends with it. Under E-2 the dealer is irrelevant, and she could operate her own enterprise for as long as it remains real and non-marginal and she remains eligible, renewing as needed, though with no direct path to permanent residence. Ask the owner whether the company will commit capital and staff to a branch she manages and whether it will still exist in Québec in five years. Ask herself whether she wants to be an employee abroad or an owner abroad.

03

Do not mix the two files to shorten the wait

The tempting shortcut is to have the dealer's owner fund a U.S. entity that she partly owns, hoping to satisfy both categories at once. That usually satisfies neither: for E-2 her share and control must be her own and substantial; for L-1A the U.S. entity must be the dealer's affiliate and her role managerial within the group. Pick the route that matches the truth of the arrangement and build the file for that route only. If L-1A, spend the four months documenting her managerial duties and securing premises. If E-2, resign nothing until the enterprise is identified, the funds are traced and the escrow terms are drafted. Her spouse is employment-authorized incident to status under either L-2 or E-2 derivative status.
