FOR IMMIGRANT INVESTORS · L'ANCIENNE-LORETTEL'Ancienne-Lorette

Invest in anew chapter.

Hypothetical example: a dentist in L'Ancienne-Lorette is selling her practice and intends to open a multi-chair dental clinic in a U.S. state as a new commercial enterprise she will own and manage, rather than investing through a regional center. The category asks for capital at the current statutory level, US$1,050,000 as the standard amount or US$800,000 where the enterprise sits in a targeted employment area or is an infrastructure project under the 2022 Reform and Integrity Act, placed at risk in a new commercial enterprise, ten full-time jobs for qualifying U.S. workers, a lawful and fully documented source and path for the money, and an investor who takes part in management or policy. In a standalone case the ten jobs must be direct, full-time positions on the enterprise's own payroll, and the investor cannot rely on an economic model to count them. Conditional residence lasts two years, then conditions must be removed on proof the jobs exist. The clinic's staffing plan is therefore the heart of the file.

IN THIS GUIDE · Counting ten direct jobs: what a L'Ancienne-Lorette dentist must prove in a standalone EB-5 enterprise

Start with the EB-5 eligibility and application overview

01

Build the staffing plan as evidence, not as marketing

Ten full-time positions for qualifying U.S. workers means ten jobs of at least thirty-five hours per week, filled by U.S. citizens, permanent residents or others authorized to work, not counting the investor or her family. For a dental clinic that is hygienists, assistants, front-desk and billing staff and perhaps an associate dentist. The business plan must show when each position is hired, at what wage, and how the clinic's patient volume supports it, with assumptions a reviewer can test.

02

Trace the practice-sale proceeds

The sale of a Québec dental practice typically involves a purchase agreement, a professional-corporation share sale or asset sale, a lawyer's trust account, and tax withholdings. Every step from the sale to the U.S. clinic's bank account needs a document, including currency conversion, and the tax return for the year of sale backs up the whole chain. A final balance proves the money exists, not where it came from.

03

Separate her clinical licence from her investor role

Whether she may practise dentistry in the chosen state is a licensing question with its own examinations and timelines, entirely outside EB-5. The immigration file needs her to manage or set policy for the enterprise, which as sole owner she plainly does. But a clinic whose only dentist cannot yet be licensed has a revenue problem that undermines the job-creation plan, so the licensing timeline belongs in the business plan.

04

Plan the two-year conditional period from the outset

On admission the family holds conditional permanent residence for two years. The removal-of-conditions petition must show the ten jobs were created or will be created within a reasonable time, from payroll records. Hiring that slips because construction or licensing was late is the common failure, so the plan should hold a buffer and the clinic should keep quarterly payroll returns from the first hire.

05

Conditional residence, and the petition that ends it

The subscription creates rights and obligations between investor and issuer — capital call mechanics, a distribution waterfall, transfer restrictions, reporting undertakings — and the offering documents govern all of it. Keep one dated list of events with their sources, because the two calendars merge by accident easily: subscription signed, funds transferred, petition filed, petition approved, admission or adjustment, conditional residence beginning, and the filing window before its second anniversary. Investors must also be engaged in the management or policy formulation of the enterprise, which a limited partnership interest carrying the rights ordinarily accorded to limited partners can satisfy.
