IN THIS GUIDE · Document an employee buyout and a land sale before a Stoneham-et-Tewkesbury contractor commits EB-5 capital
Start with the EB-5 eligibility and application overview
Prove the source through two different transactions
The buyout proceeds are documented by the share purchase agreement, the bank's financing commitment to the buyers, the closing statement and the deposit into his account; years of corporate financial statements show the company was real and lawfully his. The gravel-pit sale is documented by the deed, the notary's statement of adjustments, the land registry entry and the tax filing that reported the gain. Each transaction gets its own chapter in the file, and the two are then joined to the account that will fund the investment.
Check that the reduced threshold really applies
The US$800,000 figure is available only if the project is in a targeted employment area or is an infrastructure project, and that qualification belongs to the project, not the investor. Ask the regional center for the designation evidence and its date, and confirm that the capital amount in the offering matches. A high-unemployment-area designation that expires after the qualifying investment does not by itself require the investor to increase the investment; confirm that the reduced threshold applied at the legally relevant time.
Read how ten jobs will be counted
In a regional-center project, job creation is generally shown through an economic model that counts direct, indirect and induced jobs attributable to the project's spending. Ask how many investors share the total, how many jobs are allocated to each, and what happens if construction is delayed. A standalone investment would instead count employees on the enterprise's own payroll. Either way, the ten jobs must be for qualifying U.S. workers and the investor's file has to show them at the removal-of-conditions stage.
Understand what engagement and conditional residence mean for the household
A limited-partner interest with voting rights on policy matters is a recognized form of engagement in a regional-center structure; read the partnership agreement to confirm those rights exist. After petition approval, the investor, spouse and any qualifying unmarried child under 21 become conditional permanent residents for two years upon U.S. admission with immigrant visas or adjustment of status; Form I-829 is then used to remove conditions by showing the required investment and job creation. A stepchild qualifies as a child only if the marriage creating the step-relationship occurred before the child's eighteenth birthday, and derivative eligibility also requires the child to remain unmarried and under 21, subject to any applicable Child Status Protection Act calculation.
