Your ambition.Your enterprise.

Hypothetical example: a Stoneham-et-Tewkesbury couple who have managed short-term rental chalets for absentee owners for six years want to buy a vacation-rental management company in a Vermont ski town. The seller manages fifteen properties under contracts with their owners, employs two cleaners and a maintenance worker, and wants to stay on as a paid consultant for a year. The couple would fund the purchase by selling two chalets they own. E-2 requires that the investors be nationals of a treaty country, that the funds be irrevocably committed and at risk, that the investment be substantial relative to the business, that the enterprise be real and non-marginal, and that the investors develop and direct it. A management company owns contracts rather than buildings, which shapes every one of those questions.

IN THIS GUIDE · Test whether a vacation-rental management purchase gives a Stoneham-et-Tewkesbury couple a real enterprise to direct

Start with the E-2 eligibility and application overview

01

Confirm what is actually being bought

The business's value lies in fifteen management contracts, a booking system, an owner and guest reputation, and the labour of three employees. Read every management contract for its term, its termination rights and any clause that lets an owner cancel on a change of control; if most owners can leave on thirty days' notice, the substantiality and marginality analysis rests on a fragile base. The purchase agreement should assign the contracts, the software licences and the trade name, and the seller's consulting agreement should be a separate, priced document.

02

Trace the chalet sale proceeds to the closing

The lawful source of funds is the sale of two Québec chalets. Keep the deeds of sale, the notary's statements of adjustments, the mortgage discharge records and the bank records showing proceeds landing and moving toward the purchase. Currency conversion should be documented with the confirmation from the bank or broker. Funds must be irrevocably committed and at risk; a visa-contingent escrow arrangement can satisfy that requirement if its release terms are drafted properly, but a refundable deposit held by the couple's own notary does not.

03

Prove that both spouses direct, and that the seller does not

The couple should own the acquiring entity outright, each as a Canadian citizen, and the seller's consulting role must be advisory rather than controlling. Write the consulting agreement so that the seller provides introductions and training, has no authority to sign contracts or hire, and can be terminated. Decide which spouse is the principal E-2 applicant, since the other may accompany as an E-2 spouse who is employment-authorized incident to status; both directing the business is fine as long as the ownership and management documents say so.

04

Show the enterprise supports more than the household

Non-marginality means the business must do more than pay the couple a living. Three existing employees help, as does a plan to add properties and staff. Build the projection from the current contracts, the seasonal booking data the seller provides and the local market, not from optimistic assumptions. Note that E-2 has no direct path to permanent residence; the status can be renewed while the enterprise continues, but a family that wants a green card needs a separate plan.
