Buying a licensed daycare centre as a Sainte-Brigitte-de-Laval E-2 investor: what the sale documents must prove

THE SHORT ANSWER

A regulated business such as a childcare centre raises the E-2 questions in a specific order: can the enterprise lawfully operate under the new owner, is the capital committed and at risk, is it substantial against the true cost, and does the business employ enough people to be clearly non-marginal. Licensing sits first because an unlicensed centre is not a bona fide enterprise. A Sainte-Brigitte-de-Laval buyer with early-childhood experience should structure the purchase so that the licence transfer, the escrow release and the visa decision are sequenced together rather than assumed.

01

Confirm the licence can transfer to the buyer before agreeing a price

Hypothetical example: a Sainte-Brigitte-de-Laval early-childhood educator who managed a Québec garderie agrees to buy a licensed childcare centre in a U.S. state. State childcare licences are typically issued to an operator and premises, often non-transferable, and may require the new operator to meet director qualifications, background checks and inspection before the centre can enrol children under her ownership. The purchase agreement should make closing conditional on the state's approval of the buyer as licensee or on an interim management arrangement the state accepts. The E-2 file then shows a real enterprise that can operate lawfully from day one under her direction, rather than a building with cots and a licence that lapsed at closing. Obtain the licensing agency's written requirements early and attach the application or approval to the visa file.

02

Structure the payment so the funds are committed but not lost

The price should be deposited with an escrow agent under terms that release it to the seller when the visa issues and the licence transfers, and return it if the visa is refused, with a non-refundable component that reflects genuine commitment. Funds placed on those terms are treated as irrevocably committed because the buyer cannot simply withdraw. Keep a ledger of every commitment with dates and supporting records, and trace each contribution back to its source: savings, the sale of a Québec property, or a loan secured on Canadian assets rather than on the centre itself. The substantiality test compares total investment with the total cost of the enterprise, so obtain a valuation that separates equipment and leasehold improvements from goodwill, and be prepared to fund nearly all of a modestly priced centre from personal capital.

03

Use staffing ratios to prove the business is not marginal

A childcare centre's regulatory staffing ratios make the non-marginality case unusually concrete. The seller's payroll records show how many U.S. employees the centre already carries, and the licensed capacity shows how many it must carry to operate at full enrolment. A business plan that projects enrolment, the corresponding required staff, wages and the resulting revenue demonstrates capacity to make a significant economic contribution well beyond the investor's own living. Include the buyer's Québec management record as evidence the projections are credible. Then address the family: an E-2 spouse is employment-authorized incident to status and could work in the centre or elsewhere; children may attend school but may not work, including helping at the centre, and lose dependant status at 21.
