SAINTE-CATHERINE-DE-LA-JACQUES-CARTIER · IDENTIFY THE ACTUAL APPLICANT

When the business owner and proposed transferee are different people

USAvisa field guide · 2 minute read Reviewed 7 September 2026
THE SHORT ANSWER

Start the comparison by identifying whose application is being considered. A company’s expansion plans, its owner’s investment and an employee’s transfer history are separate facts. Do not attribute one person’s qualifications or financial commitment to another. The choice turns on the actual relationship to the business: an L-1 transfer relies on qualifying organizations and prior employment, while E-2 relies on treaty nationality, committed funds, ownership or control, and a non-marginal enterprise. Hypothetical example: a Canadian owner of a U.S.-bound artisan soap company has worked for her Québec corporation for years but will also contribute personal funds. A people-and-entities map may show that both routes deserve review, yet the evidence and risks are different. Choose only after the governing facts are documented.

01

Draw a people-and-entities map

Label each person’s ownership, employment and proposed U.S. responsibilities. Hypothetical example: a shareholder finances an acquisition while a long-serving manager would relocate. Record both roles accurately instead of assuming the manager becomes an investor through the shareholder’s contribution. Map nationality, ownership, the foreign employer, the U.S. entity, prior employment, funding, and proposed duties on one page. Empty cells reveal the evidence that must be obtained before a route can be chosen.

02

Collect evidence for the person under review

For the transfer proposal, document the individual’s qualifying employment and proposed duties alongside the corporate relationship. For an investor proposal, identify the applicant and examine the applicable nationality, ownership/control and investment requirements. If an employee category is relevant, request that separate analysis rather than substituting it for investor eligibility. Collect L-1 records around the qualifying relationship and the employee’s historical role; collect E-2 records around money, control, and the operating business. Do not reuse a document merely because it is favourable to the other route.

03

Keep the decision conditional on the missing evidence

List the unresolved facts and who can supply them. A commercial agreement can establish a transaction without answering the immigration questions about a particular person. Compare routes only after those personal and corporate facts are clear; a preferred business structure does not guarantee either classification. Keep the decision conditional where ownership, staffing, transaction terms, or the investor’s authority remains unresolved. A premature choice can cause expensive documents to be prepared for a route the final facts do not support.
